Terms & Conditions
Last updated: 26 July 2026
These Terms govern your use of the website of Alkeme Design SRL ("Alkeme Design", "we", "us") and our design services. They cover both visitors to this website and clients of paid projects. By using this website, accepting a quote, or instructing us to begin work, you agree to these Terms. They are governed by Romanian law, which includes European Union law as transposed in Romania.
1. About us
Alkeme Design SRL is a brand design studio registered in Romania, with its registered office at Str. Octav Doicescu nr. 2, ap. 6, Cisnădie, Sibiu County, Romania, registered with the Romanian Trade Register under no. J2026049675005, sole registration code (CUI) 55425963, EUID ROONRC.J2026049675005, subscribed share capital 500 RON. Contact: legal@alkeme.design · alkeme.design.
In these Terms, a Consumer is a natural person acting outside any trade, business, craft or profession. A Business Client is anyone else (a company, or a person acting professionally).
2. Using this website
All content on this website (text, design, code, images, portfolio work, logos and marks) is owned by or licensed to Alkeme Design and is protected by copyright and trademark law (Legea nr. 8/1996, transposing EU copyright law). You may view it for personal, informational use. You may not copy, reproduce, scrape, republish or exploit it commercially without our written permission. You agree not to misuse the website, interfere with its security or operation, or use it unlawfully.
The website is provided "as is" and "as available". We do not warrant that its content is complete, accurate or error-free, or that access will be uninterrupted. External links are provided for convenience and we are not responsible for third-party sites.
3. Our services & scope
We provide creative design services including brand identity, logo design, web design, packaging, Instagram grids, motion, ad creative and related work. The scope, deliverables, timeline and price of each project are agreed in a written proposal or quote, which takes precedence over these Terms for that project. Anything not listed in the quote is out of scope and needs a separate quote.
4. Fees & payment
Prices are as stated in the quote. Prices on this site are in pounds sterling (GBP); the currency of each contract is the one stated in the accepted quote, and VAT is applied where applicable. Payment terms are agreed with each client for each project: typically, smaller projects are payable in full in advance, and for larger projects payment in instalments may be arranged. There is no fixed advance percentage; it is agreed case by case.
Any advance paid is non-refundable to the extent of work already performed. Final deliverables and any editable source files are released only after full payment of all sums due.
For Business Clients, in line with Legea nr. 72/2013 (transposing EU Directive 2011/7/EU on late payment), overdue invoices accrue penalty interest at the National Bank of Romania reference rate plus 8 percentage points, a fixed EUR 40 recovery compensation, and reasonable recovery costs, payable automatically. For Consumers, a proportionate statutory late fee under the Civil Code applies.
5. Revisions & changes
Each package includes the number of revision rounds set out in your quote. A revision refines an agreed direction; a new direction or added scope is a change order and is quoted separately. Timelines depend on timely client feedback and materials. If a client is inactive for more than 30 days, we may pause the project and charge a reasonable restart fee.
6. Client responsibilities & warranties
Clients agree to provide accurate information, timely feedback and materials. You warrant that all materials you supply (logos, photos, text, brand assets) are owned or properly licensed by you and do not infringe any third party's rights, and you indemnify Alkeme Design against any claim arising from materials you supply.
7. Intellectual property & licence
Under Legea nr. 8/1996, for commissioned works the economic (patrimonial) copyright belongs to the author unless expressly transferred. Alkeme Design retains the economic copyright in all work created, including preliminary and unused concepts. The individual authors retain their moral rights, which are inalienable and cannot be waived or transferred (art. 10-11 Legea 8/1996).
Upon full payment of all sums due, we grant the client a perpetual, worldwide, non-exclusive licence to use the final approved deliverables for the client's own business purposes. No rights or licence pass before full payment. Editable source files are not included unless expressly agreed in writing (separate fee). A full transfer of economic copyright is available only under a separate signed agreement specifying rights, modes of use, duration, territory and remuneration (art. 39-41 Legea 8/1996). We retain rights in our pre-existing tools, templates and know-how.
8. Attribution & white-label licence
The licence above is conditional on the client keeping a visible credit "Made by Alkeme Design", linked to alkeme.design, in the website footer or another mutually visible location, not hidden or removed.
If a client prefers no visible credit, a white-label licence is available for an additional fee, quoted per project, paid before the credit is removed. This is licensing consideration (a priced option), not a penalty. Removing, hiding or altering the credit without a white-label licence means the work is being used outside the licence granted, i.e. unauthorised use under Legea nr. 8/1996, in which case the white-label fee becomes due and we may pursue remedies under copyright law, including the author's moral right of attribution.
9. Third-party assets
Where a project uses third-party fonts, stock or software requiring a commercial licence, we will tell you in writing which licences are needed. You are responsible for purchasing and maintaining those licences. We are not liable for a client's failure to license third-party assets.
10. Portfolio & confidentiality
Unless a non-disclosure agreement is in place, we may display, reproduce and promote completed work for portfolio, marketing, educational and competition purposes (website, social media, presentations, publications). Clients with sensitive projects may request confidentiality in advance, and we will sign a mutual NDA on request.
11. Cancellation & your right of withdrawal
Any advance paid is non-refundable to the extent of work performed. On cancellation, the client pays for work performed up to that point, and unpaid balances for delivered stages remain due.
Consumers buying at a distance normally have 14 days to withdraw from a service contract under OUG nr. 34/2014 (transposing EU Directive 2011/83/EU), starting the day the contract is concluded. However, our design services are made to your specifications and clearly personalised, so under art. 16(c) contracts for such bespoke work are exempt from the right of withdrawal once we begin work on your brief. In addition, by approving the start of work you give your express prior consent for us to begin immediately and acknowledge that you lose the 14-day withdrawal right once the service is fully performed (art. 16(a)); if you withdraw after work has begun but before completion, you pay a proportionate amount for work done. Business Clients have no statutory withdrawal right.
12. Liability
To the maximum extent permitted by law, our total liability for a project is capped at the total fees paid for that project, and we are not liable for indirect or consequential loss (such as lost profits or data). Nothing excludes or limits liability that cannot be excluded by law, including for intentional fault (dol), gross negligence (culpă gravă), or harm to life, health or bodily integrity (art. 1355 Cod Civil). We work with professional care but do not guarantee commercial results (such as sales, followers or rankings).
13. Force majeure
Neither party is liable for failure to perform due to events beyond reasonable control, such as natural disasters, pandemics, strikes, or infrastructure and transmission failures. Affected timelines are extended accordingly.
14. Privacy & cookies
We process personal data as data controller under the GDPR (Regulation (EU) 2016/679) and Romanian Law nr. 190/2018. Non-essential cookies load only with your prior consent (Legea nr. 506/2004). See our Privacy Policy and Cookie Policy for details, your rights, and how to complain to the supervisory authority (ANSPDCP).
15. Consumers in the European Union
If you are a Consumer resident in the EU, nothing in these Terms deprives you of the mandatory consumer-protection rules of your country of residence, and you may bring proceedings in the courts of your country of residence (Rome I Regulation 593/2008; Brussels I bis Regulation 1215/2012). Any term that would be unfair to a consumer has no effect on the consumer (Legea nr. 193/2000, transposing Directive 93/13/EEC).
16. Governing law & jurisdiction
These Terms are governed by Romanian law. For Business Clients, the competent courts of Romania (Sibiu County) have exclusive jurisdiction. The consumer protections in Section 15 continue to apply to Consumers. For clients outside the EU (UK, USA, Middle East and elsewhere), Romanian law and Romanian courts apply by choice, and enforcement abroad may require local proceedings.
17. Changes
We may update these Terms from time to time. The version that applies to a project is the one accepted at the project's start. The "last updated" date above shows when these Terms last changed.
